CNG SOLUTIONS — TERMS & CONDITIONS

Please read these Terms & Conditions carefully. By accepting a quote, signing a contract, or using our services, you agree to be bound by these terms.

1. Definitions

In these Terms & Conditions:

  • "CNG", "we", "us", "our" means CNG Solutions
  • "Client", "you", "your" means the person, company, or organisation engaging our services
  • "Services" means the cleaning, maintenance, hot tub, security, hospitality, staffing, and management services provided by CNG
  • "Site" means the location(s) where Services are to be performed
  • "Contract" means the written agreement between CNG and the Client, incorporating these Terms & Conditions

2. Scope of Services

2.1 CNG agrees to provide the Services as set out in the written quotation, proposal, or contract agreed with the Client.

2.2 The full scope of work, schedules, frequencies, and specifications are detailed in the attached Schedule of Works / Service Specification. Any work outside this agreed scope will be charged separately.

2.3 CNG reserves the right to refuse any work that is deemed unsafe, illegal, or outside our area of expertise.

2.4 Where Services include staffing supply, CNG acts as an employment business under the Employment Agencies Act 1973 and Conduct of Employment Agencies and Employment Businesses Regulations 2003.

3. Quotations & Acceptance

3.1 All quotations are valid for 30 days from the date of issue, unless stated otherwise.

3.2 A Contract is formed when:

  • The Client signs and returns the Contract / Order Form, or
  • The Client confirms acceptance by email, or
  • CNG commences work with the Client's knowledge and agreement

3.3 Quotations are based on information provided by the Client. If the actual site conditions or requirements differ significantly, CNG reserves the right to revise pricing.

3.4 Any verbal agreements or variations must be confirmed in writing to be binding.

4. Pricing & Payment

4.1 Prices are quoted in Pounds Sterling (£) and are exclusive of VAT unless stated otherwise. VAT will be charged at the prevailing rate.

4.2 Invoices will be issued [weekly / monthly / on completion] as agreed in the Contract.

4.3 Payment is due within 14 days of the invoice date, unless otherwise agreed in writing.

4.4 Accepted payment methods: Bank Transfer (BACS), Direct Debit, Debit/Credit Card, Cheque (made payable to CNG SOLUTIONS).

4.5 Late Payment: If payment is not received by the due date, CNG reserves the right to:

  • Charge interest at 8% above the Bank of England base rate (per the Late Payment of Commercial Debts (Interest) Act 1998)
  • Charge a fixed compensation fee of £40–£100 per invoice (depending on amount)
  • Suspend Services until payment is received
  • Recover all debt recovery costs from the Client

4.6 If an invoice is disputed, the Client must notify CNG in writing within 7 days of receipt. The Client remains liable for all undisputed amounts.

4.7 Prices may be reviewed annually, with 30 days' written notice of any increase.

5. Client Obligations

The Client agrees to:

5.1 Provide safe access to the Site at agreed times, including keys, gate codes, and necessary permissions.

5.2 Inform CNG of any hazards, risks, asbestos, dangerous materials, or site rules before work commences.

5.3 Ensure utilities (water, electricity, drainage) are available where required for Services.

5.4 Provide adequate storage facilities for CNG equipment and materials where applicable.

5.5 Give reasonable notice (minimum 48 hours) for any changes to schedules, access arrangements, or site availability.

5.6 Ensure CNG staff are treated with respect and not subjected to abuse, harassment, or unsafe working conditions.

5.7 Provide a named contact with authority to make decisions regarding the Services.

6. CNG Obligations

CNG agrees to:

6.1 Provide trained, vetted, and uniformed staff to perform the Services.

6.2 Carry out work in a professional, workmanlike manner to the agreed specification.

6.3 Provide our own equipment, materials, and PPE unless otherwise agreed in writing.

6.4 Maintain Public Liability Insurance (minimum £5 million) and Employers' Liability Insurance (minimum £10 million). Certificates available on request.

6.5 Comply with all relevant health & safety legislation, including COSHH, PUWER, and the Health & Safety at Work Act 1974.

6.6 Provide regular management supervision and spot-checks to ensure quality standards.

6.7 Maintain confidentiality regarding the Client's business, guests, and site information.

7. Staffing & Substitution

7.1 CNG will assign suitable staff to each contract. We reserve the right to substitute staff due to illness, holiday, or other operational requirements.

7.2 Where a specific named individual is requested, CNG will use reasonable endeavours to honour this but cannot guarantee continuity of a specific individual.

7.3 If the Client has a genuine concern about a specific member of staff, CNG will investigate and, where appropriate, replace that individual.

7.4 No Poaching / Direct Engagement: The Client agrees not to directly employ, engage, or contract any CNG staff member (or introduce them to a third party for employment) during the Contract and for 6 months after their last assignment with the Client. Breach of this clause will incur an introduction fee equal to 25% of that individual's annualised remuneration.

8. Security Services (Specific Terms)

8.1 Where security services are provided, all personnel hold valid SIA licences where required by law.

8.2 Security staff act in a preventative and observational capacity. CNG does not accept liability for any loss, theft, or damage that occurs despite reasonable security measures.

8.3 The Client must provide PGS with accurate site plans, access details, alarm codes, and emergency contact information.

8.4 Any incident will be recorded in an incident report and provided to the Client within 24 hours.

8.5 Security patrol frequencies and routes are as agreed. CNG cannot guarantee detection of all incidents, and liability is limited as set out in Clause 12.

9. Hot Tub Services (Specific Terms)

9.1 Hot tub servicing includes chemical testing, balancing, cleaning, and visual inspection as per the agreed schedule.

9.2 CNG will maintain water treatment records which will be made available to the Client for compliance purposes.

9.3 The Client is responsible for ensuring hot tubs are in good mechanical working order. CNG will report any mechanical faults but is not liable for equipment failure.

9.4 CNG is not liable for illness or injury arising from hot tub use where the Client has failed to follow advice, report faults, or maintain equipment.

9.5 Chemicals used are COSHH-compliant, and COSHH data sheets are available on request.

10. Maintenance Services (Specific Terms)

10.1 Maintenance work is carried out by qualified/experienced operatives. Where specialist certification is required (gas, electrical), CNG will use appropriately qualified subcontractors and will advise the Client accordingly.

10.2 Any additional work identified during a visit will be quoted and agreed with the Client before commencement.

10.3 Emergency call-outs are available 24/7 for contracted clients. A call-out fee may apply for non-contract clients or for visits outside agreed hours.

10.4 Where parts or materials are required, CNG will source them at cost plus a reasonable handling fee, unless otherwise agreed.

10.5 All maintenance work carries a 3-month workmanship guarantee from completion. This does not cover fair wear and tear, misuse, or subsequent damage.

11. Cancellation, Suspension & Termination

11.1 Rolling Contracts: Either party may terminate by giving 30 days' written notice.

11.2 Fixed-Term Contracts: Early termination by the Client will incur a fee equal to 50% of the remaining contract value (to cover staffing and resource commitments).

11.3 Cancellation of a Scheduled Visit: Less than 24 hours' notice will be charged at 50% of the visit fee. No-show with no notice will be charged at 100%.

11.4 Immediate Termination (CNG): CNG may terminate immediately (with written notice) if:

  • The Client fails to pay overdue invoices after a formal reminder
  • The Client breaches a material term and fails to remedy it within 7 days
  • The Client becomes insolvent, enters administration, or ceases trading
  • CNG staff are subjected to abuse or unsafe working conditions

11.5 Immediate Termination (Client): The Client may terminate immediately if CNG materially breaches the Contract and fails to remedy within 7 days of written notice.

11.6 On termination, the Client must pay for all Services performed up to the termination date, plus any costs reasonably incurred.

11.7 CNG may suspend Services immediately (without terminating) if invoices are overdue by more than 14 days. Suspension does not relieve the Client of payment obligations.

12. Liability & Indemnity

12.1 CNG is liable for:

  • Death or personal injury caused by our negligence
  • Damage to property caused by our negligence
  • Breach of our statutory obligations

12.2 CNG is NOT liable for:

  • Pre-existing damage, wear and tear, or gradual deterioration
  • Damage caused by the Client's negligence, misuse, or failure to follow advice
  • Loss of profit, revenue, business, or goodwill (indirect/consequential loss)
  • Theft or loss where security services are provided (limited to proven negligence)
  • Circumstances beyond our reasonable control (Force Majeure)

12.3 Total liability cap: CNG's total aggregate liability under any Contract is limited to the total fees paid by the Client in the 12 months preceding the claim, or £1,000,000, whichever is the lower. This cap does not apply to death or personal injury caused by negligence.

12.4 The Client must notify CNG of any claim within 14 days of discovering the issue, failing which CNG's liability is extinguished.

12.5 The Client indemnifies CNG against any claims from third parties (including guests, visitors, or members of the public) arising from the Client's negligence, failure to provide a safe site, or breach of these Terms.

13. Health & Safety

13.1 Both parties will cooperate to ensure a safe working environment, including sharing risk assessments and site-specific safety information.

13.2 CNG will provide all necessary PPE and ensure staff are trained in COSHH and safe working practices.

13.3 The Client must notify CNG of any notifiable incidents (accidents, near-misses) involving CNG staff immediately.

13.4 CNG reserves the right to withdraw staff from a site if working conditions are deemed unsafe, without penalty.

14. Confidentiality & Data Protection

14.1 Both parties agree to keep confidential any sensitive information obtained during the Contract, including client lists, financial information, and operational details.

14.2 CNG will process personal data in accordance with UK GDPR and our Privacy Statement (available on our website). Both parties will comply with their respective obligations as data controller/processor.

14.3 Where CNG acts as a data processor (e.g., handling guest data on the Client's behalf), a separate Data Processing Agreement (DPA) is available on request.

14.4 Confidentiality obligations survive termination of the Contract indefinitely.

15. Force Majeure

15.1 Neither party is liable for failure to perform obligations caused by events beyond reasonable control, including (but not limited to): pandemics, natural disasters, war, terrorism, government action, severe weather, fuel shortages, or industrial action.

15.2 The affected party must notify the other as soon as reasonably possible. If the event continues for more than 30 days, either party may terminate the Contract by written notice without penalty.

16. Complaints Procedure

16.1 Any complaint must be raised in writing (email or letter) within 7 days of the issue arising.

16.2 CNG will acknowledge the complaint within 2 working days and aim to resolve it within 7 working days.

16.3 If unresolved, the complaint will be escalated to senior management for formal review, with a written response within 14 days.

16.4 If the Client is still unsatisfied, either party may pursue mediation or legal remedies.

17. Notices

17.1 All formal notices must be in writing and delivered by:

  • Email (with read receipt) to the designated contact
  • Recorded delivery / signed-for post to the registered business address

17.2 Notices are deemed received: same day for email (if sent before 5pm on a working day), or 2 working days after posting.

18. General

18.1 Entire Agreement: These Terms & Conditions, together with the Contract/Schedule of Works, constitute the entire agreement. No verbal representations are binding unless confirmed in writing.

18.2 Variation: Any changes to these Terms must be agreed in writing by both parties.

18.3 Severability: If any clause is found unenforceable, the remaining clauses continue in full effect.

18.4 Waiver: Failure to enforce any clause does not constitute a waiver of that clause.

18.5 Third Parties: These Terms do not confer any rights on third parties.

18.6 Assignment: CNG may assign or subcontract obligations (with notice). The Client may not assign the Contract without prior written consent.

18.7 Governing Law: These Terms are governed by the laws of England and Wales. Both parties submit to the exclusive jurisdiction of the English courts.
